M&A Transactions

Augustus Global, LLC has acquired Omega Air, Inc., and its affiliate Omega Aerial Refueling Services, Inc., a provider of aircraft leasing, parts, contracted air-to-air refueling (AAR), and other flight services for international government aerospace and defense end markets. Terms of the transaction were not disclosed.  

Bart & Associates, Inc., a portfolio company of DFW Capital Partners, has acquired Intelligent Waves, LLC, a provider of mission-focused technology, systems engineering, advanced cybersecurity and data intelligence solutions for U.S. federal defense, intelligence and civilian agencies. Terms of the transaction were not disclosed. KippsDeSanto & Co. served as exclusive financial advisor to Intelligent Waves, LLC.

Detroit Defense has acquired Athenix Solutions Group, a provider of systems engineering, software development, intelligence, cyber operations and special mission capabilities for U.S. federal defense and intelligence agencies. Terms of the transaction were not disclosed.  

Extant Aerospace, a subsidiary of TransDigm Group Incorporated (NYSE: TDG), has agreed to acquire a portfolio of commercial rotorcraft, land systems, and business jet products from Woodward, Inc. (NASDAQ: WWD), a provider of precision energy control solutions for aerospace, defense, and other end markets. The transaction is valued at $240 million.

Ondas Holdings, Inc. (NASDAQ: ONDS) has acquired Insignito Solutions Ltd, a provider of AI-enabled passive acoustic intelligence systems for counter-UAS applications in private sector and international government aerospace and defense end markets, Ottopia Defense, a provider of communications infrastructure connecting unmanned maneuvering platforms with remote operators and command centers for the private sector and international aerospace and defense end markets, and Caribou Labs, a provider of resilient communications, GNSS-denied navigation, and deterministic identification for electronic warfare environments in private sector and international government aerospace and defense end markets. The transaction is valued up to $88 million, including potential earnout considerations of up to $32 million.

Rocket One Inc. (NASDAQ: RKTO) has agreed to acquire Tracer Drone Technologies, LLC, a provider of full-service unmanned aerial vehicle (UAV) solutions for defense and other end markets. Terms of the transaction were not disclosed.

Rohde & Schwarz GmbH & Co. has acquired NEOSAT GmbH, a provider of multi-antenna satellite systems, satellite-based IoT connectivity, communications payloads, and ground infrastructure for private sector and international government aerospace and defense end markets, and PHYTRONIC GmbH, a provider of waveform design and antenna algorithms for space and avionics communications in private sector and international government aerospace and defense end markets. Terms of the transaction were not disclosed.
