Apex Space and Defense Systems, a portfolio company of Charger Investment Partners, has acquired Unitech Composites, Inc., a portfolio company of Acorn Growth Companies, Caltius Structured Capital, and The Edgewater Funds and provider of advanced structural and non-structural composite laminates and assemblies with core capabilities in hand lay-up and filament winding yielding airframe structures and specialty components including gap seals, connectors, ducting, winglets, and niche armament structures primarily for defense applications across major fixed and rotary wing aircraft. Terms of the transaction were not disclosed. KippsDeSanto & Co. acted as financial advisor to Unitech Composites.
Bain Capital, LLC has agreed to acquire Guidehouse Holding Corp., a portfolio company of Veritas Capital and provider of strategic advisory services, with areas of expertise including financial management, program management, operations improvement and security, and data management. The transaction is valued at $5.3 billion.
BigBear.ai, Inc. has agreed to acquire Pangiam Holdings, LLC, a portfolio company of AE Industrial Partners and provider of facial recognition technology, cloud-based applications, and data-driven digital identity solutions for private sector and U.S. Federal Government defense and homeland security markets. Signia Aerospace, a portfolio company of Arcline Investment Management, has acquired Meeker Aviation and Airfilm Camera Systems, a provider of aircraft external payload mounts for electro-optical and infrared sensors, light detection and ranging laser scanners, searchlights, camera systems, and speaker systems in addition to select door hinge and pin kits on an installed base of more than 10,000 units in service used by various military, law enforcement, utility, and production markets. TransDigm Group, Inc. (NYSE: TDG) has agreed to acquire the Electron Device Business of Communications & Power Industries, a portfolio company of The Jordan Company and provider of highly engineered, proprietary electronic components and subsystems with significant aftermarket content (~70% of revenues) and nearly all revenue generated from proprietary products. The transaction is valued at $1.39 billion.
