M&A Transactions

Arxis, Inc. (NYSE: ARXS), a portfolio company of Arcline Investment Management, L.P., has agreed to acquire Omnetics Connector Corp., a provider of micro-miniature and nano-miniature, high-reliability electronic connectors and interconnection systems for aerospace and defense markets. The transaction is valued at $770M.

Arxis, Inc. (NYSE: ARXS), a portfolio company of Arcline Investment Management, L.P., has acquired MagCanica, LLC., a provider of non-contact, high-precision torque sensors operating under extreme conditions within aerospace and defense markets. The transaction is valued at $120M.

HEICO Flight Support Corp., a subsidiary of HEICO Corp. (NYSE: HEI), has acquired Cook Defence Systems Ltd., a provider of track systems for armored fighting vehicles within defense markets. Terms of the transaction were not disclosed.

Hensoldt AG (XETRA: HAG.DE) has acquired B.V. Nederlandse Instrumenten Compagnie (Nedinsco), a provider of opto-mechatronic subsystems for armored vehicles across private sector and international government defense markets. Terms of the transaction were not disclosed.

Motorola Solutions, Inc. (NYSE: MSI) has agreed to acquire D-Fend Solutions AD Ltd., a provider of radio frequency cyber-based, non-kinetic, non-jamming, counter-drone takeover technology solutions for private sector and U.S. federal government defense, homeland security, and law enforcement markets. The transaction is valued at $1.5B.

PDW Holdings, Inc. has agreed to acquire Vanteon Corporation, a provider of electronics engineering and design services for advanced communications, radio frequency systems, and Software-Defined Radio (“SDR”) technologies within U.S. federal government defense and law enforcement markets. Terms of the transaction were not disclosed.

Omni Fed, LLC., a portfolio company of Madison Dearborn Partners, LLC., has acquired Nara Logics, Inc., a provider of neuro-inspired AI technologies and advanced decision-intelligence platforms for U.S. federal government and Department of Defense customers. Terms of the transaction were not disclosed.

RTC Aerospace, LLC., a portfolio company of Stellex Capital Management, L.P., has acquired Automatic Products Co., Inc., a provider of precision milling and turning components, as well as mechanical assemblies, for commercial aerospace markets. Terms of the transaction were not disclosed.

Valiant Solutions Group, LLC,. a portfolio company of Bluestone Investment Partners, LLC., has acquired BreakPoint Labs, LLC., a provider of AI-enabled cyber defense, adversarial threat emulation, and red team operation solutions for U.S. federal government defense and intelligence markets. Terms of the transaction were not disclosed.

Voyager Technologies, Inc. has agreed to acquire Astrobotic Technology, Inc., a provider of end-to-end lunar logistics services and products within defense and space markets. The transaction is valued at $300M.
