M&A Transactions

AE Industrial Partners, LP has agreed to acquire a 60% stake in the Space Propulsion and Power Systems business of L3Harris (NYSE: LHX), a provider of advanced rocket engines, propulsion systems, and power technologies within space markets. The transaction is valued at $845 million.

Arxis, a portfolio company of Arcline Investment Management, L.P., has acquired Mirco-Tronics, Inc., a provider of engineered, mission-critical elastomeric and metallic components within commercial aerospace, defense, and other commercial markets. Terms of the transaction were not disclosed.

AxioAero Group, a portfolio company of CORE Industrial Partners, LLC, has acquired Airway Aerospace LLC, a provider of maintenance, repair, and overhaul ("MRO") services focused on accessories, airframe, and powerplant repairs within commercial aerospace and defense markets. Terms of the transaction were not disclosed.

BNP Group, a portfolio company of Godspeed Capital Management LP, has acquired Airport Gurus, a provider of airport operations, digital technology implementation, optimization, and planning consultancy within commercial aerospace markets. Terms of the transaction were not disclosed.

Karman Holdings Inc (NYSE: KRMN) has agreed to acquire Seemann Composites, Inc., a provider of high-performance composites for naval undersea and surface systems within defense markets. The transaction is valued up to $220 million.

Magnet Defense LLC has acquired Metal Shark, a provider of maritime platforms within defense markets. Terms of the transaction were not disclosed.

Michelin (ENXTPA: ML) has agreed to acquire Tex-Tech Industries, a portfolio company of Arlington Capital Partners and provider of specialty textiles and fabrics for demanding applications within commercial aerospace, defense, and other commercial markets. Terms of the transaction were not disclosed.

NexTech Solutions, LLC, a portfolio company of Clairvest Group Inc., has acquired Vidterra LLC, a provider of intelligent software solutions that enable decisive and accelerated intelligence advantages by providing a complete lifecycle solution for Intelligence, Surveillance, and Reconnaissance (“ISR”) data assets, from collection to dissemination and management. Terms of the transaction were not disclosed. KippsDeSanto & Co. served as exclusive financial advisor to Vidterra LLC.

Pan Am Flight Academy, LLC, a portfolio company of Acorn Capital Management, has acquired Alliance Aviation, Inc., a provider of aviation training support for regional, national, and international airlines within commercial aerospace markets. Terms of the transaction were not disclosed.

The Blackhawk Group, a portfolio company of New State Capital Partners LLC, has acquired Silver Sky Aviation, a provider of MRO solutions for medium-sized corporate aircraft, specializing in services for King Air, Caravan, Kodiak, and PC-12 platforms within commercial aerospace markets. Terms of the transaction were not disclosed.

Vatn Systems, Inc. has acquired Crewless Marine Acoustics LLC, a provider of advanced underwater acoustic sensors and signal processing systems for unmanned maritime applications within commercial and defense markets. Terms of the transaction were not disclosed.
