M&A Transactions

Auria Space, a portfolio company of Enlightenment Capital, has acquired RKF Engineering Solutions and Kythera Space Solutions, providers of dynamic management systems for next-generation satellite payloads and satellite communications networks. Terms of the transaction were not disclosed. KippsDeSanto & Co. served as exclusive financial advisor to RKF Engineering Solutions and Kythera Space Solutions.

BigBear.ai (NYSE: BBAI) has acquired certain technologies of CargoSeer, a provider of unified artificial intelligence decision support technology that identifies high-risk shipments and other anomalies in cargo flows at ports of entry. Terms of the transaction were not disclosed.

Falfurrias Capital Partners has acquired EXPANSIA, Coherent Technical Services, Inc, (“CTSi”), and John H. Northrop & Associates (“JHNA”). EXPANSIA is a provider of technology focused professional services for private sector and U.S. Federal government markets. CTSi is a provider of specialized engineering, professional, scientific and technical solutions for private sector and U.S. Federal government aerospace and defense markets. JHNA is a provider of technical engineering solutions for private sector and U.S. Federal government defense markets. Terms of the transaction were not disclosed. KippsDeSanto & Co. served as exclusive financial advisor to EXPANSIA.

Gryphon Investors has acquired Fortreum, a provider of cybersecurity and regulatory compliance certification solutions for private sector and U.S. Federal government markets. Terms of the transaction were not disclosed.

LightPath Technologies (NASDAQ: LPTH) has acquired Amorphous Materials, Inc., a provider of optical grade Chalcogenide glass structures within defense markets. The transaction is valued up to $10 million.

Loar Holdings Inc. (NYSE: LOAR) has acquired Harper Engineering Co., a provider of mechanically engineered devices for aircraft interiors, including stowage bin latches, ceiling latches, door locks, oxygen bottle brackets, seat track fittings, and panel fasteners, within commercial aerospace markets. The transaction is valued at $250 million.

Tetra Tech (NASDAQ: TTEK) has acquired Halvik Corp., a provider of end-to-end software and management solutions to private sector and U.S. Federal government markets. Terms of the transaction were not disclosed.

TransDigm Group Incorporated (NYSE: TDG) has agreed to acquire Jet Parts Engineering, LLC and Victor Sierra Aviation Holdings, LLC, portfolio companies of Vance Street Capital and providers of manufacturing and distribution of Original Equipment Manufacturer ("OEM") alternative parts and repair services within commercial aerospace markets. The transaction is valued at $2.2 billion.

Washington Harbour Partners, LP has acquired Radome Services, LLC, a provider of full-spectrum radome and antenna field services for private sector and U.S, Federal government aerospace, defense, and telecommunications markets. Terms of the transaction were not disclosed.
